GThese Terms of Service (“Terms”) constitute a legally binding agreement between you, whether individually or on behalf of an entity (“you” or “Customer”), and GO Enterprises LLC (“Company,” “we,” “us,” or “our”) regarding your access to and use of our websites, software platforms, mobile applications, customer portals, APIs, and related services (collectively, the “Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.
Our foundation comes from real industry experience — working directly with logistics, cold storage, and produce operations — where precision, speed, and reliability are critical.

1. Eligibility and Authority
You represent that:
you are at least 18 years old;
you have legal capacity to enter into this agreement; and
if using the Services for a company or organization, you have authority to bind that entity.

2. Services Provided
The Company provides software and related services, which may include:
SaaS platforms
warehouse management systems
enterprise resource planning tools
customer portals
mobile applications
integrations
analytics tools
support services
Features may vary by subscription plan, customer agreement, or product offering.

3. Accounts and Security
To access certain Services, you may be required to create an account.
You agree to:
provide accurate and current information;
maintain confidentiality of credentials;
restrict unauthorized access to your account;
promptly notify us of suspected unauthorized use.
You are responsible for activity occurring under your account unless caused solely by our negligence.

4. Subscription Plans, Fees, and Billing
Certain Services require paid subscriptions or recurring fees.
You agree that:
fees are billed in U.S. Dollars unless otherwise stated;
recurring plans automatically renew unless cancelled before renewal;
taxes may apply where required;
you authorize us or our payment processors to charge valid payment methods;
failed payments may result in suspension or restricted access.
Unless required by law or expressly agreed otherwise in writing, fees are non-refundable.

5. Acceptable Use
You agree not to:
use the Services for unlawful purposes;
violate regulations applicable to your business operations;
interfere with platform security or performance;
upload malicious code or harmful content;
attempt unauthorized access to systems, accounts, or data;
reverse engineer or copy the Services except where legally permitted;
use bots, scrapers, or automated tools without permission;
misuse support systems or impersonate others.

6. Customer Data
You retain ownership of data, files, records, and content you upload or submit to the Services (“Customer Data”).
You grant us a limited right to host, process, transmit, backup, and otherwise use Customer Data solely to:
provide the Services;
maintain security;
troubleshoot issues;
comply with legal obligations;
improve product functionality in aggregated or anonymized form.
You are responsible for the legality, accuracy, and rights associated with Customer Data.

7. Intellectual Property
The Services, including software, designs, interfaces, trademarks, databases, documentation, and related materials, are owned by or licensed to GO Enterprises LLC and protected by applicable intellectual property laws.
Except for limited access rights granted under these Terms, no ownership rights are transferred to you.

8. Availability and Support
We strive to maintain reliable service availability but do not guarantee uninterrupted or error-free operation.
Services may be temporarily unavailable due to:
maintenance;
upgrades;
outages;
security incidents;
third-party provider failures;
events beyond our reasonable control.
Any service level commitments must be expressly stated in a separate written agreement.

9. Third-Party Services
The Services may integrate with or link to third-party tools, payment providers, carriers, platforms, or websites.
We are not responsible for third-party products, content, availability, or privacy practices.

10. Privacy
Our collection and handling of information is governed by our Privacy Policy and Cookie Policy, as applicable.

11. Suspension and Termination
We may suspend or terminate access to the Services if:
you violate these Terms;
payments remain overdue;
use creates security or legal risk;
required by law;
necessary to protect the Services or other users.
You may discontinue use at any time and cancel subscriptions subject to billing terms.
Termination does not eliminate obligations accrued before termination.

12. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

13. Limitation of Liability
To the fullest extent permitted by law, GO Enterprises LLC shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, business interruption, data loss, or operational disruption.
Our total liability arising from the Services shall not exceed the amount paid by you to us for the applicable Services during the twelve (12) months preceding the claim.

14. Indemnification
You agree to defend, indemnify, and hold harmless GO Enterprises LLC and its officers, employees, contractors, and affiliates from claims, liabilities, damages, and expenses arising from:
your misuse of the Services;
Customer Data you provide;
violation of these Terms;
violation of law or third-party rights.

15. Governing Law and Venue
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.
Any dispute arising from these Terms shall be brought in the appropriate courts located in New Jersey, unless otherwise required by law or agreed in writing.

16. Changes to Terms
We may modify these Terms from time to time. Updated versions become effective when posted. Continued use of the Services after updates are posted constitutes acceptance of the revised Terms.
